Emergence Field Labs (EFL) End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legally binding contract between an Organization ("Client") and Emergence Field Labs, Inc. ("EFL"). By accessing or using the EFL software, website, or associated services ("Software"), you agree to comply with the terms and conditions of this Agreement. If you are a participant ("End User" or "Participant") invited by a Client to interact with EFL's services, you are also subject to these terms and are encouraged to review them in full.

1. License Grant

EFL grants to the Client a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right for Client and/or Client's authorized users (including participants) to access and use the Software, strictly for the Client's internal business or research purposes, and in accordance with this Agreement. No transfer of ownership is conveyed by this Agreement. The Software is licensed, not sold, to the Client and users.

2. Participant Access

Participants ("End Users") who access surveys or data collection activities via invitations from a Client are governed under this EULA. Participants are notified that the Client, the entity that invited them, has agreed to the rights and limitations stated herein and is responsible for compliance.

By accessing surveys or other data collection activities, Participants acknowledge that your access is provided by a Client who has agreed to these terms with EFL, and your access may be terminated by either EFL or the Client at any time subject to this Agreement.

3. Restrictions

You may not:

  • Transfer, license, sublicense, sell, resell, lend, rent, lease, or otherwise distribute the Software or any rights under this Agreement.
  • Modify, reverse engineer, decompile, or disassemble the Software, except as expressly permitted by applicable law.
  • Use the Software for purposes unrelated to the permitted scope (internal business and/or research) set by the Client.
  • Use the Software to violate any law, infringe third-party rights, or collect data in a manner prohibited by EFL policy.

4. Data Collection & Privacy

EFL processes data solely on behalf of the Client, who is responsible for informing Participants of the intended use of their data and ensuring proper consent has been obtained. EFL's Privacy Policy describes EFL's data handling, security, and privacy compliance.

5. Term & Termination

This Agreement is effective as long as the Client maintains an active license or subscription. Upon termination, EFL may retain anonymized, non-PII Participant data, depending on contractual agreement with Client.

6. Intellectual Property

EFL retains all right, title, and interest in the Software, including all intellectual property rights. No rights are granted except as expressly set forth in this Agreement.

7. Warranties, Disclaimers & Limitations

The Software is provided "as is" without warranty of any kind. EFL disclaims all other representations and warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
